Terms of Service

The agreement between you and SkoopStak.

The plain-English version. SkoopStak is a software tool for pet-waste businesses. You pay $49/month (or $490/year) after a 14-day free trial. You can cancel any time, no contracts, no gotchas. You own your data; we host it. Don't abuse the service or break the law, and we'll do our best to keep things running.

1. Accepting these terms

These Terms of Service ("Terms") form a binding agreement between you and Scoopmaster LLC, a Connecticut limited liability company doing business as SkoopStak ("SkoopStak," "we," "us," or "our"). By creating an account, signing in, or using any part of SkoopStak, you agree to these Terms and to our Privacy Policy. If you don't agree, don't use the service.

You must be at least 18 years old and have authority to enter into a contract on behalf of yourself or any business you represent.

2. What SkoopStak is

SkoopStak is a growing suite of web-based software tools for pet-waste removal businesses, currently including the Skoop Quoter (yard-measurement and pricing) and the Financial Dashboard (P&L, KPIs, and scenario modeling), with additional tools added over time. The current product is referred to throughout these Terms as the "Service."

3. Your account

You sign in with an email address using a one-time magic link. You are responsible for keeping access to that email account secure. Anyone who can access your inbox can access your SkoopStak account. If you suspect unauthorized access, contact us immediately at support@skoopstak.com.

You agree to provide accurate information when prompted (such as your business name) and to keep your account details up to date.

4. Subscription, billing, and cancellation

Free trial

New accounts include a 14-day free trial with full access to the Service. We do not require a payment method to start the trial. If you do not add a valid payment method before the trial ends, your subscription will end automatically and you will lose access to the Service. Your data will be retained for at least 30 days afterward so you can return without losing it.

Plans and pricing

When your trial converts to a paid subscription, you will be billed at one of these rates depending on the plan you select:

All charges are processed by Stripe. By providing a payment method, you authorize Stripe to charge that payment method on a recurring basis at the applicable interval.

Auto-renewal

Subscriptions renew automatically at the end of each billing period until you cancel. We'll send a renewal receipt to your account email each cycle.

Cancellation

You can cancel at any time through the Manage subscription option in the app (which opens the Stripe Customer Portal) or by emailing support@skoopstak.com. When you cancel:

Refunds

We do not provide refunds for partial billing periods (for example, if you cancel mid-month, you keep access through the rest of the month but are not refunded for unused days). We will refund charges that result from a billing error (such as duplicate charges) once we verify them. Refund requests can be sent to support@skoopstak.com.

Price changes

We may change the price of the Service in the future. If we do, we will give you at least 30 days' notice by email before the new price applies to your subscription. You may cancel before the change takes effect if you don't agree to the new price.

Taxes

Prices are exclusive of any sales, use, or value-added taxes applicable to your purchase. If we are required to collect such taxes, they will be added at checkout.

We may suspend or terminate your access if we reasonably believe you've violated these rules. See "Termination" below.

6. Your data and content

You retain ownership of all data and content you enter into the Service (your business info, customer addresses, financial data, quotes, and so on, collectively "Your Content"). You grant us a limited, non-exclusive license to store, display, transmit, and process Your Content solely to operate the Service for you.

You are responsible for the accuracy and legality of Your Content. In particular, you are responsible for ensuring you have any required consents to provide third-party information (such as customer names and addresses) to a software service like ours.

You can export or delete Your Content at any time. See our Privacy Policy for details on data retention and deletion.

7. Our intellectual property

The Service itself, including the code, design, brand, "SkoopStak" name, logo, and the underlying software, is the intellectual property of Scoopmaster LLC. We grant you a limited, non-exclusive, non-transferable right to use the Service for the duration of your active subscription. Nothing in these Terms transfers any ownership of the Service to you.

Feedback you provide ("This feature is broken," "I wish you had X") is appreciated, and we may use it to improve the Service without obligation or compensation to you.

8. Third-party services

The Service uses third-party providers to function, including Stripe for payments, Mapbox for maps and geocoding, Supabase for data storage and authentication, and Netlify for web hosting. Your use of the Service is subject to those providers' own terms and privacy policies. We are not responsible for outages or behavior of third-party services that are outside our reasonable control.

9. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.

We do not warrant that the Service will be uninterrupted, error-free, or perfectly accurate. Specifically: yard measurements, drive distances, and other geographic outputs are estimates produced by third-party data and may not be exact. Financial dashboards reflect the inputs you provide and are not financial, legal, or tax advice. You are responsible for verifying outputs before relying on them for business decisions.

10. Limitation of liability

To the maximum extent permitted by law, in no event will Scoopmaster LLC, its officers, members, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business, arising out of or in connection with these Terms or your use of the Service, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for any claim arising out of or relating to these Terms or the Service is limited to the greater of (a) the amounts you paid us in the 12 months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100.00).

11. Indemnification

You agree to indemnify, defend, and hold harmless Scoopmaster LLC and its members, employees, and affiliates from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service, (b) your violation of these Terms, (c) Your Content, or (d) your violation of any law or the rights of any third party.

12. Termination

By you. You can cancel your subscription at any time. To delete your account entirely, email support@skoopstak.com.

By us. We may suspend or terminate your account if you materially breach these Terms, if your payment fails and is not cured within a reasonable grace period, or if continuing to provide the Service to you would put us at material legal or operational risk. We will provide reasonable notice where practical.

Upon termination, your right to use the Service ends. We will retain or delete Your Content as described in the Privacy Policy.

13. Governing law and disputes

These Terms are governed by the laws of the State of Connecticut, without regard to its conflict-of-laws principles. Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Service will be resolved exclusively in the state or federal courts located in Connecticut, and you consent to the personal jurisdiction of those courts.

The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

If any provision of these Terms is held unenforceable, the rest remain in effect. Our failure to enforce any provision is not a waiver of our right to do so later.

14. Changes to these terms

We may update these Terms from time to time as the Service evolves or as laws change. For material changes, we'll email active users and update the "Last updated" date at the top of this page. Your continued use of the Service after a change means you accept the updated Terms. If you don't accept the changes, your remedy is to cancel your subscription before they take effect.
